Terms of Service
These Terms of Service ("Terms") are a legal agreement between you ("you", "User") and LTD Providem, Identification No. 405815239, doing business as ProvideM.ai ("ProvideM.ai", "we", "us"). They govern your access to and use of the ProvideM.ai website, platform, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
0. Definitions
- Buyer: a user who purchases AI-related services through the Platform.
- Provider: an independent professional or company that offers AI-related services through the Platform.
- Transaction: a purchase of services by a Buyer from a Provider via the Platform.
- Project Terms: the scope, deliverables, timeline, acceptance criteria, and other terms agreed between Buyer and Provider.
- User Content: any content, materials, files, prompts, datasets, messages, or other information a User submits, uploads, or makes available on or through the Platform.
- Work Product: deliverables created specifically for a Buyer under a Transaction (excluding Provider Background IP).
- Background IP: pre-existing tools, libraries, code, templates, methods, or know-how owned/controlled by a Provider prior to (or outside) a Transaction.
1. What ProvideM.ai Is (Intermediary platform)
ProvideM.ai is an online intermediary platform that connects:
- customers who purchase AI-related services ("Buyers"), and
- independent professionals or companies who offer AI-related services ("Providers").
ProvideM.ai is not an employer, staffing agency, agent, or partner of any Provider. Providers are independent contractors and are solely responsible for their services, taxes, permits, licenses, insurance, and compliance with laws.
However, ProvideM.ai is committed to protecting both Buyers and Providers through its payment hold (escrow) system and dispute resolution process. Payments are held by the Platform or its payment partners until the Buyer approves the delivered work, ensuring that Providers do not begin work without secured funding and that Buyers do not lose money without receiving satisfactory results. If any issue arises, ProvideM.ai will review the dispute, analyze the evidence, and make a documented decision to ensure a fair outcome for both parties.
2. Eligibility
You must be at least 18 years old (or the age of legal majority where you live) and able to form a binding contract to use the Platform.
If you use the Platform on behalf of a company, you confirm you have authority to bind that company, and "you" includes the company.
3. Accounts & Security
You may need an account to use certain features. You agree to:
- provide accurate and complete information,
- keep your login credentials secure,
- promptly notify us of unauthorized access or suspicious activity.
You are responsible for activity under your account. We may require verification steps to reduce fraud and protect Users.
4. Platform Rules & Prohibited Use
You agree not to misuse the Platform. Prohibited activities include (non-exhaustive):
- violating any law or regulation;
- infringing intellectual property, privacy, or other rights;
- posting illegal, deceptive, hateful, harassing, or abusive content;
- attempting to bypass Platform fees or payment flow ("off-platform" payments) where applicable;
- distributing malware, scraping without permission, reverse engineering (where prohibited), or interfering with Platform operation;
- misrepresenting identity, qualifications, location, or work history;
- using the Platform to develop or deploy harmful or illegal systems (e.g., malware, phishing, unlawful surveillance), or to facilitate wrongdoing;
- attempting to access another User's account or data without permission.
4.1 Prohibited Content & Communications
The following content and activities are strictly prohibited on ProvideM.ai:
Off-Platform Communication Attempts
- Soliciting or sharing contact information to move conversations off the Platform (phone numbers, email addresses, social media handles)
- Requesting communication through external messaging apps (WhatsApp, Telegram, Viber, Signal, Discord, etc.)
- Sharing links to personal websites, social media profiles, or external contact forms for the purpose of circumventing Platform communication
External Payment & Fee Circumvention
- Requesting or accepting payment outside the Platform for services introduced through ProvideM.ai
- Sharing payment links, bank account details, cryptocurrency addresses, or payment app handles
- Encouraging buyers to pay directly to avoid Platform fees
- Using cash, bank transfers, or any payment method outside the Platform's authorized flow
Harassment, Hate Speech & Abuse
- Insults, slurs, derogatory language, or personal attacks
- Hate speech based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
- Bullying, intimidation, or targeted harassment
- Discrimination in service provision or hiring decisions
Threats & Violence
- Threats of physical harm, violence, or death
- Intimidation, blackmail, or extortion
- Encouraging or glorifying violence
- Stalking or threats to find someone's location
Illegal Goods & Services
- Drugs, narcotics, or controlled substances (including marijuana where illegal)
- Weapons, firearms, ammunition, or explosives
- Stolen goods, counterfeit items, or illegal products
- Services that facilitate illegal activity
Fraud, Scams & Deceptive Practices
- Pyramid schemes, multi-level marketing (MLM), or get-rich-quick schemes
- False guarantees of earnings or risk-free investments
- Phishing attempts or requests for sensitive personal information
- Fake reviews, ratings, or testimonials
- Identity theft or impersonation of others
Personal Data Solicitation
- Requesting government-issued ID numbers, passport numbers, or social security numbers
- Asking for credit card details, CVV codes, or banking credentials
- Requesting home addresses, dates of birth, or other sensitive personal information
- Sharing or requesting national identification numbers (INN, SNILS, etc.)
Adult & Explicit Content
- Pornographic or sexually explicit material
- Nude or sexually suggestive images
- Solicitation of sexual services
- Content involving minors in any adult context
Spam & Manipulation
- Unsolicited promotional messages or advertisements
- Repetitive or bulk messaging
- Misleading urgent offers ("act now", "limited time only")
- Clickbait or deceptive links
Platform Impersonation
- Falsely claiming to be ProvideM.ai staff, administrators, or support personnel
- Impersonating platform moderators or officials
- Sending messages that appear to be from ProvideM.ai but are not
4.2 Content Moderation & Enforcement
ProvideM.ai employs automated content filtering systems that monitor messages and user-generated content in real-time. Messages containing prohibited content may be automatically blocked before delivery.
Our moderation system supports multiple languages including English, Georgian (ქართული), and Russian (Русский), and detects various obfuscation techniques including spaced characters, mixed scripts, transliteration, and leetspeak variations.
4.3 Consequences of Violations
Violations of these rules may result in:
- Immediate blocking of messages containing prohibited content
- Content removal without notice
- Account warnings and restriction of features
- Suspension of messaging privileges
- Withholding or freezing of payments
- Permanent account termination
- Reporting to law enforcement where illegal activity is suspected
- Legal action for damages or breach of contract
4.4 Appeals & False Positives
If you believe your message was incorrectly blocked or your account was suspended in error, you may contact support at support@providem.ai. We will review legitimate cases and may override automated decisions when appropriate.
5. Intermediary platform Transactions (Buyer ↔ Provider)
5.1 The Contract is Between Buyer and Provider
When a Buyer purchases services from a Provider (a "Transaction"), the Buyer and Provider enter into direct Project Terms. ProvideM.ai is not a party to that agreement.
5.2 Platform Protections
While ProvideM.ai cannot guarantee that any Provider will be available, any Buyer will purchase, or that any deliverable will meet expectations, the Platform actively protects both parties:
- Buyer payments are held by the Platform or its payment partners until the Buyer approves the delivered work, so Providers do not work without secured funding.
- If work is not delivered, not completed properly, or the Buyer has any concerns, the Buyer may open a dispute which will be reviewed and resolved by the ProvideM.ai team.
- Every dispute decision is documented and explained to both parties, and outcomes may include full refund, partial refund, revised delivery, or release of funds to the Provider.
5.3 Communication & Records
You may communicate through the Platform. You are responsible for the accuracy of statements, requirements, approvals, and materials you provide.
5.4 Professional Conduct
Users must act professionally. Abuse, coercion, extortion, discrimination, or harassment is prohibited.
5.5 Work Submission and Review
When a Provider completes work under an agreement, the Provider must submit the completed work through the Platform's work submission system, including:
- A detailed description of the work completed
- All deliverable files and materials
Review Period and Auto-Approval: Upon submission, the Buyer has seven (7) calendar days to review the submitted work and either approve it or reject it with specific reasons. If the Buyer does not take any action within this 7-day period, the submitted work will be automatically approved. This auto-approval is binding and cannot be reversed.
Rejection and Disputes: If the Buyer rejects the submitted work, they must provide clear and specific reasons for rejection. The Provider may either:
- Revise and resubmit the work addressing the stated concerns, or
- Open a dispute if they believe the rejection is unjustified
All disputes regarding work quality, scope, or rejection are subject to review by ProvideM.ai administrators who will make a final binding decision based on the agreement terms, submitted work, and rejection reasons.
6. Payments, Fees, and Taxes
6.1 Fees
ProvideM.ai may charge service fees (e.g., platform fee, transaction fee, payment processing fee). Applicable fees will be shown during checkout or otherwise before you pay.
6.2 Payments
Buyers agree to pay all amounts due for Transactions, including fees and applicable taxes. Providers agree to receive payment via the Platform's supported payout methods and to provide accurate payout information.
6.3 Refunds & Disputes
Refund eligibility (if any) depends on the specific Transaction and the Platform's refund/dispute process described at checkout or in applicable policies. We may:
- facilitate dispute resolution,
- request evidence and project materials,
- issue a refund, partial refund, or deny a refund based on the circumstances and applicable policies.
Unless explicitly stated otherwise, ProvideM.ai does not provide warranties or "money-back guarantees." Refund and dispute outcomes may be at our discretion where permitted by law.
6.4 Taxes
Users are responsible for their own taxes, duties, VAT, reporting, and compliance. ProvideM.ai may collect or remit taxes when required by law.
7. No Fee Circumvention (Off-Platform Payments)
Where the Platform enables paid Transactions, you agree not to:
- avoid, bypass, or circumvent Platform fees,
- solicit or accept off-platform payment for services introduced via the Platform (including by sharing direct payment links or invoices),
except where explicitly permitted in writing by ProvideM.ai.
Violation may result in suspension/termination and other actions, including withholding payouts where allowed by law to address suspected circumvention or fraud.
8. Provider Responsibilities
Providers agree to:
- provide services professionally and in good faith;
- accurately represent skills, experience, and availability;
- comply with laws (including data protection, IP, export controls, and consumer protection);
- keep Buyer confidential information confidential and use it only for the Project;
- not deliver infringing, unlawful, or malicious work product;
- maintain appropriate security practices when handling Buyer data.
Providers are solely responsible for their tools, methods, and outputs.
9. Buyer Responsibilities
Buyers agree to:
- provide clear requirements, timely feedback, and necessary access/materials;
- ensure they have the rights to share any materials, datasets, or content provided to Providers;
- use delivered work responsibly and legally;
- follow Platform payment rules and avoid requesting/pressuring off-platform payment (where restricted);
- validate and test deliverables before production use.
10. AI-Specific Disclaimers (Important)
AI systems and AI-generated outputs may be inaccurate, incomplete, biased, or unsafe for certain use cases. You acknowledge and agree that:
- Providers' deliverables and any AI outputs should be reviewed and validated before use;
- ProvideM.ai does not guarantee performance, accuracy, compliance, or suitability of any AI output or deliverable;
- Buyers are solely responsible for decisions made based on outputs, including deployment, monitoring, and compliance.
11. No Professional Advice
The Platform may be used to obtain services that involve technical, business, legal, financial, medical, or other sensitive areas. ProvideM.ai does not provide professional advice, and nothing on the Platform is a substitute for advice from a qualified professional. You are responsible for obtaining appropriate independent advice when needed.
12. Intellectual Property (IP) — Basics
12.1 Your Content
You retain ownership of User Content, subject to the license you grant below.
12.2 License to Operate the Platform
You grant ProvideM.ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit User Content only as necessary to operate, improve, maintain, and secure the Platform and to perform our obligations.
12.3 Project Deliverables
Unless Buyer and Provider agree otherwise in their Project Terms:
- Providers retain ownership of Background IP.
- Upon full payment, Buyers receive a license to use the Work Product for their internal/business purposes, and to modify it, subject to any third-party/open-source licenses and any limitations stated in the Project Terms.
If you want full assignment of IP or "work made for hire" style terms, you must include it in the Project Terms/SOW and ensure it is legally valid under applicable law.
12.4 Open Source
If a Provider uses open-source components, those components remain governed by their applicable licenses. Buyers are responsible for complying with those licenses.
12.5 Feedback
If you provide suggestions or feedback about the Platform, you grant ProvideM.ai the right to use it without restriction or compensation.
13. Confidentiality
Users may share confidential information during a Transaction. Each party agrees to:
- use confidential information only for the Project,
- protect it with reasonable care,
- not disclose it to third parties except as required for the Project or by law.
ProvideM.ai is not responsible for what Users disclose to each other. If you need stronger protections, use a separate NDA.
14. Data Protection & Privacy
You agree not to upload, share, or request unnecessary sensitive personal data on the Platform. If a Transaction involves personal data, Buyer and Provider are responsible for complying with applicable data protection laws (including any GDPR obligations where applicable).
A separate Privacy Policy will describe how ProvideM.ai handles personal data on the Platform.
15. User Content & Moderation
We may (but are not required to) review, monitor, or remove User Content. We may remove content that violates these Terms or creates risk.
You represent that you have the rights to post User Content and that it does not violate law or third-party rights.
16. Third-Party Services
The Platform may integrate with third-party services (payment processors, analytics, hosting, etc.). Your use of third-party services may be governed by their terms. ProvideM.ai is not responsible for third-party services.
17. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDEM.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PROVIDEM.AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS/REVENUE/DATA, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY TRANSACTION.
- WHILE PROVIDEM.AI ACTIVELY FACILITATES DISPUTE RESOLUTION AND MANAGES FUND RELEASE DECISIONS, PROVIDEM.AI IS NOT LIABLE FOR INDIRECT CLAIMS OR DAMAGES ARISING FROM BUYER-PROVIDER RELATIONSHIPS OR DELIVERABLES BEYOND THE DISPUTE RESOLUTION PROCESS DESCRIBED IN THESE TERMS.
- OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT OF FEES PAID TO PROVIDEM.AI BY YOU IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $500.
Some jurisdictions do not allow certain limitations; in that case, limits apply to the maximum extent allowed.
19. Indemnification
You agree to indemnify and hold ProvideM.ai harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:
- your breach of these Terms,
- your User Content,
- your violation of law or third-party rights,
- disputes between Buyer and Provider.
20. Suspension & Termination
We may suspend or terminate your access if we believe you violated these Terms, created risk, engaged in misconduct, attempted fee circumvention, or used the Platform fraudulently.
You may stop using the Platform at any time. Sections that by their nature should survive termination will survive (including IP, disclaimers, liability limits, indemnity, and dispute terms).
21. Electronic Communications & Notices
By using the Platform, you consent to receive communications electronically (e.g., email, platform notifications). We may provide notices by posting on the Platform, emailing you at your account email, or via in-Platform messages. Such notices are considered delivered when sent (subject to mandatory law).
22. Dispute Resolution (Informal First)
Before filing any claim, you agree to contact us at support@providem.ai and provide a brief written description of the issue and the relief requested. The parties will attempt to resolve the dispute informally. We may suspend or delay payouts related to a Transaction while a dispute is under review, where permitted by law.
23. Changes to These Terms
We may update these Terms from time to time. We will post the updated version and update the "Last updated" date. Continued use after changes means you accept the updated Terms.
24. Governing Law & Jurisdiction
These Terms are governed by the laws of Georgia, excluding conflict-of-law rules.
Any dispute not resolved informally will be brought in the courts of Tbilisi, Georgia, and you consent to that jurisdiction and venue.
25. Miscellaneous
- Entire Agreement. These Terms and any policies referenced on the Platform form the entire agreement between you and ProvideM.ai regarding the Platform.
- Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
- Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (e.g., outages, natural disasters, war, labor disputes, government actions).
